Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the website and services provided by SnappyTech, LLC, doing business as Websu ("Company," "we," "our," or "us"). By accessing or using our website or services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

Services

Websu provides digital marketing, web development, mobile application development, custom software development, and related technology services. The specific scope, deliverables, timelines, and fees for any project will be outlined in a separate Service Agreement or Statement of Work ("SOW") between you and Websu.

User Responsibilities

By using our services, you agree to:

• Provide accurate and complete information when requested
• Maintain the confidentiality of any account credentials
• Promptly notify us of any unauthorized use of your account
• Comply with all applicable laws and regulations
• Not use our services for any unlawful or prohibited purpose
• Not interfere with or disrupt our services or servers

Intellectual Property

Our Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of SnappyTech, LLC or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

Client Work Product

Ownership of work product created for clients will be specified in the applicable Service Agreement or SOW. Generally, upon full payment, clients receive ownership of custom deliverables created specifically for their project, excluding any pre-existing materials, third-party components, or proprietary tools and frameworks.

Payment Terms

• Payment terms will be specified in the applicable Service Agreement or SOW
• Unless otherwise agreed, invoices are due within 30 days of receipt
• Late payments may be subject to interest charges and suspension of services
• All fees are non-refundable unless otherwise specified in writing

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our engagement. This obligation survives the termination of our business relationship.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED
• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM
• WE ARE NOT RESPONSIBLE FOR ANY THIRD-PARTY SERVICES, PLATFORMS, OR CONTENT

Indemnification

You agree to indemnify, defend, and hold harmless SnappyTech, LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses arising from your use of our services, your violation of these Terms, or your violation of any rights of a third party.

Termination

Either party may terminate the business relationship in accordance with the terms specified in the applicable Service Agreement or SOW. We reserve the right to suspend or terminate access to our services immediately if you breach these Terms or engage in any conduct that we determine, in our sole discretion, to be harmful to us or other users.

Dispute Resolution

Any disputes arising from these Terms or our services shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions. The parties agree to attempt to resolve any disputes through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Clark County, Nevada, in accordance with the rules of the American Arbitration Association.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after such changes constitutes your acceptance of the new Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with any applicable Service Agreements or SOWs, constitute the entire agreement between you and SnappyTech, LLC regarding the use of our services and supersede all prior agreements and understandings.
